Terms of Service
1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the PadX platform, including our website, applications, hardware products, and related services (collectively, the “Services”).
PadX (“PadX”, “we”, “our”, or “us”) provides tools that enable users to record, upload, manage, stream, analyse, and distribute audio-visual content. The Services may include artificial intelligence features, editing tools, analytics, and integrations with third-party services.
The Services are currently provided free of charge. We reserve the right to introduce paid features or subscriptions in the future.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
If you use the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
2. Eligibility
To use the Services, you must:
- be at least 16 years old
- have the legal capacity to enter into a binding agreement
- comply with all applicable laws and regulations
3. Account Registration
You represent and warrant that:
- all information you provide is accurate and complete
- you will keep your login credentials secure and confidential
- you are responsible for all activity under your account
4. Team Accounts
If you invite or allow other users to access your account or organisation workspace, you are responsible for:
- their access and use of the Services
- ensuring their compliance with these Terms
5. Acceptable Use
You agree not to:
- upload, share, or distribute unlawful, harmful, or abusive content
- infringe intellectual property or other rights of any third party
- upload or process personal data without a valid legal basis
- introduce malware, viruses, or harmful code
- attempt to gain unauthorised access to the Services or systems
- reverse engineer, decompile, copy, or scrape the Services
- use the Services to develop or support a competing product or service
- use automated means to extract data except where expressly permitted
PadX may remove content, suspend access, or take other action where necessary to enforce these Terms or comply with legal obligations.
6. User Content
You retain ownership of all content you upload, record, or otherwise make available through the Services (“User Content”).
You grant PadX a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, transmit, display, and otherwise use User Content for the purposes of:
- providing and operating the Services
- improving and developing the Services
- ensuring security and functionality
You represent and warrant that:
- you own or have all necessary rights to your User Content
- your User Content does not violate any laws or third-party rights
7. Artificial Intelligence Features
The Services may include AI-generated outputs.
You acknowledge and agree that:
- AI outputs may be inaccurate, incomplete, or misleading
- you are solely responsible for reviewing and verifying outputs before relying on them
- PadX does not guarantee the accuracy, originality, or suitability of AI outputs
Where permitted by applicable law, PadX may use User Content and associated data to train, develop, and improve machine learning and artificial intelligence systems. Where required, we will obtain appropriate consents or provide opt-out mechanisms.
8. Fees and Future Paid Features
The Services are currently provided free of charge.
PadX reserves the right to introduce fees, subscriptions, or paid features at any time. If we do:
- pricing and terms will be clearly disclosed
- you will not be charged without your explicit consent
- we will provide reasonable notice before charging existing users
Additional terms may apply to paid features.
9. Data Usage and Analytics
PadX may collect and use data relating to your use of the Services.
We use data to:
- operate and provide the Services
- improve and develop features
- train and enhance AI systems
- monitor performance, security, and reliability
Aggregated Data
We may aggregate and anonymise data so that it no longer identifies any individual. We may use and commercialise such data for analytics, benchmarking, and product development.
Data Roles
- PadX acts as a processor when handling personal data on your behalf and will do so in accordance with your instructions and applicable data protection laws
- PadX acts as a controller for analytics, product improvement, AI development, and security purposes
10. Physical Activity and Safety Disclaimer
Use of the Services may occur in environments involving physical activity or sport.
PadX does not provide medical, coaching, or safety advice. You acknowledge that participation in such activities carries inherent risks, and you assume full responsibility for those risks.
11. Camera Captured Content and Consents
You are solely responsible for:
- obtaining all necessary permissions and consents from individuals captured in any content
- ensuring a valid legal basis (including consent where required) for processing personal data
You retain ownership of all footage captured via the Services. PadX may store, process, and display such content solely in accordance with the licence granted under these Terms.
PadX owns all rights in:
- analytics outputs
- derived data
- AI-generated insights
12. Hardware
Where PadX provides hardware products:
- Returns: Permitted within 30 days if unused and in original condition, unless otherwise stated
- Warranty: 12 months limited warranty covering manufacturing defects
The warranty does not cover damage resulting from misuse, modification, accidents, or normal wear and tear.
13. Third-Party Services
The Services may integrate with third-party services.
Use of such services is subject to their own terms and policies. PadX:
- is not responsible for third-party services
- is not liable for any data shared with third parties at your direction
14. Service Availability
The Services are provided “as is” and “as available”.
PadX does not warrant that the Services will be:
- uninterrupted
- secure
- error-free
We may modify, suspend, or discontinue any part of the Services at any time without liability.
15. Data Protection
Please refer to our Privacy Policy for details on how we collect, use, and protect personal data.
16. Suspension and Termination
PadX may suspend or terminate your access to the Services at any time if:
- you violate these Terms
- required by law or regulatory obligation
- necessary for security or operational reasons
You may stop using the Services at any time.
Effect of Termination: Upon termination:
- your right to use the Services ceases immediately
- PadX may delete or retain your data in accordance with applicable law and internal policies
17. Indemnification
You agree to indemnify and hold harmless PadX from any claims, damages, liabilities, and expenses arising from:
- your use of the Services
- your User Content
- your violation of these Terms
- your failure to obtain required consents or permissions
18. Limitation of Liability
To the maximum extent permitted by law:
- PadX shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities
- PadX’s total liability arising out of or in connection with the Services shall not exceed £100, or the amount you have paid to PadX in the 12 months preceding the claim (if greater)
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
19. Changes to the Terms
We may update these Terms from time to time.
Where changes are material, we will take reasonable steps to notify you. Continued use of the Services after updates constitutes acceptance of the revised Terms.
20. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
